Right Issue in Share Market Meaning, Examples Investor Guide

What is a Right Issue? Complete Guide for Investors

When companies need fresh capital for expansion, debt repayment, or working capital, they can raise funds either from outside investors or from their own shareholders. One of the simplest methods is a Right Issue, where the company offers new shares to its existing shareholders.

Definition of Right Issue

A Right Issue is an offer by a company to its current shareholders to buy additional shares in proportion to their existing holdings, often at a discounted price compared to the market.

Example: If a company announces a 1:5 Right Issue, it means that for every 5 shares you hold, you have the right to buy 1 additional share.

Why Do Companies Opt for Right Issue?

• Business Expansion: To fund new projects or plants.

• Debt Reduction: To repay loans and reduce interest burden.

• Working Capital Needs: For smooth day-to-day operations.

• Long-term Growth: To strengthen the balance sheet without external borrowing.

Benefits for Shareholders

1. Discounted Price: Right issues are usually cheaper than market price.

2. Priority Allotment: Existing shareholders get the first right.

3. Stake Maintenance: By subscribing, investors can maintain their ownership percentage.

Options for Shareholders

When a Right Issue is announced, shareholders can:

• Subscribe → Buy the new shares.

• Renounce → Transfer/sell the rights to another investor (if renounceable).

• Ignore → Do nothing (but ownership % gets diluted).

Risks and Limitations

• Non-participation leads to dilution of holding.

• Frequent right issues may indicate weak financial health of the company.

• Share price may fall closer to the issue price, impacting short-term returns.

Practical Example

Suppose you hold 100 shares of a company priced at ₹200. The company announces a 1:2 Right Issue at ₹150.

• You are eligible to buy 50 new shares at ₹150 each.

• If you subscribe, your average cost reduces, and your ownership % remains unchanged.

• If you don’t, your stake gets diluted because total shares in circulation increase.

Conclusion

A Right Issue can be a golden opportunity for loyal investors to buy shares at a discount and support the company’s growth. However, it is equally important to analyze why the company needs funds and whether it will improve future profitability. Right issues should not be subscribed blindly — every investor must check the company’s financial health first.
